QUALIFYING EXPERIENCE:
A securities and corporate finance attorney with approximately 26 years of experience, Mr. Bartko is an experienced partner-level attorney with securities, mergers and acquisition, and corporate finance experience, which includes representation of emerging growth companies and raising capital for such companies. Professional achievements include establishing a reputation as a self-starter and team player with a proven track record of enhancing a firm's revenue and providing competent legal counsel to a diverse group of clients. Experience includes handling securities compliance on public and private transactional matters, working with investment banks and broker-dealers in sourcing public and private capital for emerging companies, drafting periodic reports and registration statements filed with securities regulatory agencies, handling diverse broker-dealer disciplinary and regulatory matters, and negotiating, documenting and completing mergers, acquisitions and other business combinations.

PROFESSIONAL HISTORY:

  • 1997-Present Capstone Partners, L.C. Chief Executive Officer, member manager, and a principal owner of this NASD-member investment banking and corporate finance boutique, which was formed to assist emerging growth companies in structuring and successfully locating equity and debt capital. Primary responsibilities include providing corporate finance and securities advice and legal services for client companies in the process of private placement or public offerings of securities, and to handle broker dealer compliance issues relative to the operations of an investment banking company. Mr. Bartko also practices corporate and securities law in Atlanta, Georgia as a sole practitioner and routinely represents corporations desiring to conduct public offerings and those that already are public companies trading their securities on one or more national securities exchanges (company website at www.capstonepartnerslc.com). In addition to his role as a principal with Capstone Partners, L.C., Mr. Bartko serves as a managing member of Caledonian Private Equity Partners, LLC, general partner of Caledonian Private Equity Fund, LP, a distressed assets private equity fund.   • 1996-1997 Glass, McCullough, Sherrill & Harrold, Atlanta, Georgia. Partner in this 63 lawyer multi-state law firm, with primary responsibilities in the corporate and securities practice representing emerging growth companies as well as existing public companies.
  • 1992-1996 Graham & James, Atlanta, Georgia. Firm wide partner in the Raleigh, North Carolina and Atlanta, Georgia office of a major 450 lawyer national and international law firm headquartered in Los Angeles, California. Primary responsibilities included all corporate, securities, mergers, acquisition, and joint venture activities in the office. Significant broker dealer disciplinary and compliance experience gained while handling the firm’s securities- related practice. Additional responsibilities included working with his firm's management in the opening and expansion of the Atlanta office of the firm.
  • 1990-1992 Reynolds, Bryant, Patterson & Covington, P.A., Raleigh, NC. Partner in a three-office Research Triangle-based law firm with emphasis on a securities, business and commercial practice. Responsibilities included representation of public and privately-held emerging growth companies as well as large North Carolina-based bank holding companies and performing similar duties as with current firm. Duties included various Securities Act registration statements and review and filing of periodic reports on behalf of public bank holding companies.
  • 1989-1990 Cannon & Blair, P.A., Charlotte, NC. Associate-level attorney in a mid-sized Charlotte, N.C. firm with a strong securities, corporate and banking practice. Responsibilities were to (i) develop a securities practice for the firm, and (ii) assist in handling business combination transactions, strategic alliances and general corporate work, including private placement transactions and broker-dealer representation. Handled some securities litigation responsibilities; and, broker dealer disciplinary and regulatory matters.
  • 1979-1987 Jason, Kowalski, Poch & Bartko, Alpena, MI. Partner and associate with responsibilities primarily focused early on in the firm's litigation and trial practice and later on in the firm's commercial and transactional practice. Duties included supervising the firm's branch office location.

Mr. Bartko is admitted to practice before various state and federal courts in Michigan, North Carolina and Georgia and has been admitted pro hac vice in the U.S. District Court, Southern District of New York. Among the various courts he has practiced before include all state courts in Michigan, North Carolina and Georgia as well as United States Districts Courts in the Eastern District of Michigan, Eastern, Middle and Western Districts of North Carolina and the Northern District of Georgia. Mr. Bartko has also appeared before various arbitration forums, such as the American Arbitration Association and the National Association of Securities Dealer’s Inc.
